How to read this policy

This is a single combined Privacy Policy for EdisonOS. It is organised into two parts:

  • Part A - General Privacy Policy: Covers Schools, Tutoring companies, CBOs, and website visitors - including how we handle business account data, payment processing via Stripe, cookies, and marketing. Applies to anyone who visits edisonos.com or signs up for an EdisonOS subscription.
  • Part B - Student Privacy Policy: Covers student personally identifiable information (Student PII) collected when Schools, tutoring companies, or CBOs use EdisonOS with students under 18. Governed by FERPA, COPPA, and applicable state student privacy laws.

Both parts are binding. If you are a school or tutoring company using EdisonOS with students, both parts apply to your use.

Section 1 – About EdisonOS and These Terms

EdisonOS is an assessment software operated by Kalvi Software, Inc. ("EdisonOS," "we," "us," or "our"), a C-Corporation registered in the State of Delaware, USA. Our mailing address is 131 Continental Dr, Suite 305, Newark, DE 19713, United States.

These Terms apply to all users of EdisonOS, including tutors, tutoring companies, community-based organizations (CBOs), school administrators, school districts, and any other individuals or organizations that access or use the EdisonOS platform, website (edisonos.com), and all associated tools and services (collectively, the "Platform").

Platform development and engineering support are provided by TeachEdison Solutions Pvt Ltd, incorporated in India, acting as an authorized sub-processor under a Data Processing Agreement with Kalvi Software, Inc.

Section 2 – User Roles and Eligibility

2.1 User roles

EdisonOS recognizes the following user roles:

  • Business Users: Tutors, tutoring companies, CBOs, and School administrators who create and manage an EdisonOS account, purchase subscriptions, and administer the platform for their students.
  • Student Users: Students enrolled by a Business User to take practice tests, access learning content, and receive performance reports through EdisonOS.
  • Visitors: Individuals who browse edisonos.com without creating an account.

Section 3 – Account Registration and Responsibilities

When you register for an EdisonOS account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account credentials (email and password) confidential and not share them with any third party
  • Notify us immediately at support@edisonos.com if you suspect unauthorized access to your account
  • Be responsible for all activity that occurs under your account

EdisonOS reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activity harmful to the platform, other users, or students.

Section 4 – Platform Description and Permitted Use

4.1 What EdisonOS provides
EdisonOS provides Business Users with tools to:

  • Create and assign customized practice tests for SAT®, ACT®, PSAT®, SHSAT®, and other standardized assessments
  • Access curated question banks and upload custom questions
  • Administer tests in interfaces that simulate official exam conditions
  • Track student performance with analytics dashboards and progress reports
  • Share reports with students, parents, and administrators
  • Manage student rosters and tutor/teacher access

4.2 Permitted use
EdisonOS is licensed for lawful, non-commercial educational use by Business Users on behalf of their students. You may use the Platform to:

  • Enroll and manage your students' test preparation programs
  • Assign and administer practice tests and problem sets
  • Download and share student progress reports with authorized parties
  • Upload your own question content, subject to Section 7 below

4.3 Prohibited use
You may not use EdisonOS to:

  • Copy, reproduce, distribute, or sell any platform content or question bank materials to any third party
  • Resell or sublicense access to the platform without prior written authorization from EdisonOS
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Use the platform for any purpose that violates applicable law, including student privacy laws (FERPA, COPPA)
  • Introduce viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to the platform
  • Scrape, crawl, or use automated tools to extract data from the platform
  • Misrepresent your identity or affiliation when registering or using the platform
  • Use the platform in a way that could harm, exploit, or jeopardize the safety of any student

Section 5 – Trademark and Exam Disclaimer

SAT® and PSAT® are registered trademarks of the College Board. ACT® is a registered trademark of ACT, Inc. SHSAT® is a registered trademark of the New York City Department of Education. None of these organizations are affiliated with EdisonOS, and none endorse or sponsor EdisonOS or its products and services.

EdisonOS is an independent test preparation platform. Practice content on EdisonOS is designed to simulate official exam conditions for preparation purposes only and does not constitute official exam materials.

Section 6 – Intellectual Property

6.1 EdisonOS content

All content provided by EdisonOS - including question banks, practice tests,problem sets, platform design, analytics algorithms, software code, text, graphics, and branding is owned by or licensed to Kalvi Software, Inc. and is protected by U.S. and international intellectual property laws. No content may be reproduced, distributed, modified, or used outside the platform without express written permission from EdisonOS.

6.2 Your license to use

Subject to these Terms and payment of applicable fees, EdisonOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal educational operations with your enrolled students.

6.3 Your uploaded content
When you upload questions, tests, or other content to EdisonOS ("User Content"), you retain ownership of that content. By uploading, you grant EdisonOS a limited, non-exclusive license to host, store, and display that content solely for the purpose of delivering the platform services to you and your students. EdisonOS does not claim ownership of your User Content and will not use it for any commercial purpose.

You represent that you have all rights necessary to upload your User Content and that it does not infringe any third party's intellectual property rights, violate any law, or contain content that is harmful, offensive, or inappropriate for students.

Section 7 – Subscription, Pricing, and Payment

7.1 Subscription plans

EdisonOS offers subscription plans billed in US Dollars (USD) on a monthly or annual basis, as selected at the time of purchase. Current pricing is displayed at edisonos.com/pricing. All prices are exclusive of applicable taxes unless stated otherwise.

7.2 Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current subscription rate. You will receive a reminder email before annual renewals. To prevent renewal, you must cancel before the renewal date in accordance with Section 8.

7.3 Payment processing

All payments are processed by Stripe, Inc. By providing your payment details, you authorize EdisonOS and Stripe to charge your payment method for the subscription fees due. EdisonOS does not store your full card details. Payment processing is subject to Stripe's Terms of Service and Privacy Policy (stripe.com/in/privacy) Stripe uses PCI-DSS compliant infrastructure to secure all payment data.

7.4 Failed payments

If a payment fails, EdisonOS will attempt to retry the charge. If payment remains unsuccessful after reasonable attempts, your account may be suspended until the outstanding balance is resolved. You will be notified by email of any failed payment.

7.5 Price changes

EdisonOS reserves the right to change subscription prices. Business Users on annual plans will be notified at least 30 days before their renewal date if pricing changes. Continued use of the platform after a price change takes effect constitutes acceptance of the new pricing.

Section 8 – Cancellation and Refund Policy

8.1 Cancellation

You may cancel your EdisonOS subscription at any time by:

  • Emailing support@edisonos.com with your account email and a cancellation request, or
  • Using the cancellation option in your account settings (where available)

Cancellation takes effect at the end of the current billing period. You will retain full access to the platform until that date. EdisonOS does not pro-rate cancellations mid-period.

8.2 Refund policy

Annual subscriptions: Refund requests submitted within 14 days of the initial purchase date will be honored in full. Requests submitted after 14 days will be reviewed on a case-by-case basis at EdisonOS's discretion.
Monthly subscriptions: No refunds are issued for the current billing period upon cancellation. Access continues until the end of the period.
To request a refund, email support@edisonos.com with your account email, subscription details, and reason for the request. Refund decisions will be communicated within 5 business days.

8.3 Data after cancellation

Upon cancellation, your account data and associated student data will be retained for 60 days to allow you to export your records. After 60 days, all data will be securely deleted in accordance with our Privacy Policy. You are responsible for exporting any data you wish to retain before this period expires.

EdisonOS will cooperate fully with the School's investigation and provide complete transparency regarding the incident and all remediation steps.

Section 9 – Platform Availability and Disclaimers

9.1 Availability
EdisonOS aims to provide continuous platform availability but does not guarantee uninterrupted access. We may perform scheduled maintenance (with advance notice where possible) or experience unexpected downtime. EdisonOS will not be liable for disruptions caused by circumstances beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

9.2 No warranty
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EDISONOS DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR ITS SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9.3 Educational disclaimer
EdisonOS is a test preparation tool. We make no guarantees regarding student score improvements, exam outcomes, or college admissions results. Score improvements depend on individual student effort, preparation time, and many factors outside our control.

Section 10 – Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDISONOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF EDISONOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL EDISONOS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO EDISONOS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Section 11 – Indemnification

You agree to defend, indemnify, and hold harmless Kalvi Software, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the platform in violation of these Terms
  • Your User Content, including any claims that it infringes a third party's intellectual property rights
  • Your failure to obtain required parental consents for students under 13
  • Your violation of any applicable law, including student privacy laws
  • Any misrepresentation made by you in connection with your use of the platform

Section 12 – Third-Party Services and Links

EdisonOS integrates with third-party services including Stripe (payments), Google OAuth and Clever (authentication), and others listed in our Privacy Policy. Your use of any third-party service is subject to that provider's own terms and privacy policy. EdisonOS is not responsible for the practices, content, or availability of any third-party services.

The platform may contain links to third-party websites for reference. Such links do not constitute an endorsement by EdisonOS, and we are not responsible for the content or practices of any linked site.

Section 13 – COPPA and Student Users Under 13

EdisonOS does not knowingly permit students under the age of 13 to register independently. Students under 13 may only access EdisonOS when enrolled by a Business User.

By enrolling students under 13 on EdisonOS, the Business User certifies that:

  • They have obtained verifiable parental consent for each such student in accordance with COPPA and applicable state law
  • They are acting within their authority as a school official or tutoring organization with an established relationship with the student's family
  • They will maintain records of parental consent and make them available to EdisonOS upon request

If EdisonOS discovers that a student under 13 has registered without the above conditions being met, we will delete the account and all associated data promptly. To report such an issue, contact privacy@edisonos.com.

Section 14 – Student Data, FERPA, and Educator Responsibility

When you use EdisonOS with students, you acknowledge and agree that:

  • You are responsible for ensuring your use of EdisonOS complies with FERPA, COPPA, and all applicable federal and state student privacy laws
  • By sharing student data with EdisonOS, you represent that you have the legal authority to do so under your institution's or organization's data governance policies
  • EdisonOS operates as a "School Official" with a "legitimate educational interest" as defined under FERPA, and processes Student PII solely as directed by and on behalf of your institution
  • Student data will be handled in accordance with EdisonOS's Student Privacy Policy (Part B of our Privacy Policy)

EdisonOS's full Student Privacy Policy, including Sub-Processor disclosures, data retention schedules, breach notification procedures, and parental rights, is available at edisonos.com/privacy-policy.

Section 15 – Termination

15.1 Termination by you

You may stop using EdisonOS at any time. To close your account, email support@edisonos.com. Account closure is subject to the cancellation and data retention terms in Section 8.

15.2 Termination by EdisonOS

EdisonOS reserves the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have:

  • Violated these Terms or our Privacy Policy
  • Provided false or misleading information during registration
  • Engaged in fraudulent, abusive, or illegal activity
  • Created risk or legal exposure for EdisonOS, other users, or students

Where reasonably practicable, EdisonOS will provide advance notice and an opportunity to remedy a violation before termination. Upon termination, your license to use the platform ceases immediately. Data retention following termination is governed by Section 8.3.

Section 16 – Dispute Resolution and Governing Law

16.1 Informal resolution

Before initiating any formal legal proceeding, you agree to first contact EdisonOS at support@edisonos.com to attempt to resolve the dispute informally. EdisonOS will make reasonable efforts to resolve your concern within 30 days of receiving written notice.

16.2 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

16.3 Jurisdiction

For any dispute not resolved through informal resolution, both parties consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

16.4 Waiver of class action

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST EDISONOS. All disputes must be brought in your individual capacity.

16.5 School-specific agreements

If you have entered into a separately executed agreement (such as a Data Sharing Agreement or institutional service contract) with EdisonOS that specifies different dispute resolution or jurisdiction terms, those terms will govern to the extent they conflict with this Section.

Section 17 – Changes to These Terms

EdisonOS may update these Terms from time to time to reflect changes in law, our services, or our business practices. When we make material changes, we will:

  • Post the updated Terms on our website with a revised effective date
  • Notify active Business Users by email at least 14 days before the changes take effect

Your continued use of EdisonOS after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your account before the effective date.

Section 18 – General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy and any separately executed service agreements, constitute the entire agreement between you and EdisonOS relating to your use of the platform.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
  • No waiver: EdisonOS's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without prior written consent from EdisonOS. EdisonOS may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
  • Force majeure: EdisonOS will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet outages, government actions, or third-party service failures.
